These Terms & Conditions (“Agreement”) govern your use of the services provided by Vasani International (“Company”) as an import-export company. Please read this Agreement carefully before using our services. By using our services, you agree to be bound by these Terms & Conditions.
- Services: a. Vasani International provides import and export services, including sourcing, transportation, logistics, and related consultancy services. b. The services provided are subject to the terms and conditions outlined in this Agreement and any additional agreements or policies provided by the Company.
- Client Obligations: a. Clients engaging our services must provide accurate and complete information necessary for the import/export process. b. Clients are responsible for complying with all applicable laws, regulations, and customs requirements related to their import/export activities. c. Clients are responsible for any costs, fees, or penalties incurred as a result of non-compliance with applicable laws or failure to provide accurate information.
- Pricing and Payment: a. Pricing for services provided by Vasani International will be communicated to the client and agreed upon before the commencement of any services. b. Clients are responsible for payment of all applicable fees, including transportation costs, customs duties, taxes, and any other charges incurred during the import/export process. c. Payment terms and methods will be specified in the respective agreements between Vasani International and the client.
- Confidentiality: a. Vasani International and the client agree to treat any confidential information exchanged during the provision of services as strictly confidential. b. Both parties shall take reasonable measures to protect the confidentiality of such information and shall not disclose it to any third party without prior written consent, except as required by law.
- Limitation of Liability: a. Vasani International will exercise reasonable care and diligence in providing its services. However, the Company shall not be liable for any loss, damage, or delay caused by circumstances beyond its reasonable control. b. The Company shall not be liable for any indirect, consequential, or incidental damages arising from the provision of its services, except in cases of willful misconduct or gross negligence.
- Intellectual Property: a. All intellectual property rights related to the services, including but not limited to trademarks, logos, and content, belong to Vasani International. b. Clients shall not use or reproduce any intellectual property of the Company without prior written consent.
- Termination: a. Either party may terminate this Agreement by providing written notice to the other party. b. In the event of termination, any outstanding fees or obligations shall remain payable.
- Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [Insert Applicable Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Insert Applicable Jurisdiction].
- Entire Agreement: This Agreement constitutes the entire understanding between Vasani International and the client regarding the provision of import/export services and supersedes any prior agreements or understandings, whether written or oral.
- Amendments: Vasani International reserves the right to modify or update these Terms & Conditions at any time. Any changes will be effective upon posting the revised Agreement on the Company’s website. It is the client’s responsibility to review this Agreement periodically.
